Section 1 – Scope and Definitions

(1) These General Terms and License Conditions (“Terms & Conditions”) govern all agreements between Referee Academy UG (haftungsbeschränkt) (hereinafter referred to as “Referee Academy”) and its customers concerning the provision of content, licenses, digital services, and physical products.

(2) For the purposes of these Terms & Conditions, a customer is any consumer (as defined in Section 13 of the German Civil Code (BGB)) or entrepreneur (as defined in Section 14 of the German Civil Code (BGB)).

(3) “Content” within the meaning of these Terms & Conditions includes all educational, training and informational materials provided by Referee Academy, including but not limited to Laws of the Game questions, answers, explanations, presentations, training materials, videos, documents, downloads, e-learning services, and comparable content.

(4) A “User Account” means the customer’s personal account providing access to the Referee Academy platform.

Section 2 – Conclusion of Contract

(1) The presentation of products and services on the Referee Academy platform does not constitute a legally binding offer.

(2) A contract is concluded when the customer completes the ordering process and Referee Academy accepts the customer’s offer by providing the purchased services or by expressly confirming acceptance.

(3) The applicable version of these Terms & Conditions shall be made available to the customer.

Section 3 – Subject Matter of the Agreement

Depending on the license purchased, the agreement may include access to the platform, educational content, training materials, videos, examinations, downloads, mobile applications, and the delivery of physical products.

Referee Academy continuously develops and improves its content and platform features. Content and functionalities may be supplemented, updated, modified, replaced, or discontinued, provided that the essential purpose of the agreement remains unaffected.

Section 4 – Licenses and Rights of Use

(1) The customer is granted a non-exclusive, non-transferable, non-sublicensable license to use the content provided under the respective license.

(2) Unless expressly agreed otherwise in writing, licenses are issued as personal single-user licenses.

(3) Multi-user, club, association, federation, or other volume licenses require a separate agreement.

(4) Login credentials must not be shared with other individuals or organisational entities.

(5) The content provided may not, in particular, be published, permanently reproduced, distributed, or used, in whole or in substantial part, to create independent learning platforms, databases, or comparable services based on the provided content.

(6) Additional training materials may be used for the customer’s own educational and training activities. Permanent distribution or transfer of such materials to participants or other third parties is prohibited.

(7) Upon expiration or termination of the license, the granted right to use the provided content shall automatically cease.

Section 5 – Prices, Payment and Provision of Services

The prices displayed during the ordering process shall apply. Shipping costs for physical products shall be indicated separately where applicable.

Unless otherwise agreed, digital services and licensed content shall be made available after the contract has been concluded successfully and, where applicable, after payment has been received.

Section 6 – Intellectual Property

All content provided by Referee Academy is protected by copyright and, where applicable, by other intellectual property rights.

The purchase of a license does not transfer ownership of the provided content. The customer is granted only the right to use the content within the scope of the respective license.

Section 7 – Right of Withdrawal

The statutory provisions governing the right of withdrawal shall apply.

For digital content and digital services, the right of withdrawal expires in accordance with the applicable statutory provisions.

Section 8 – Warranty

The statutory warranty provisions shall apply.

Section 9 – Term and Subscriptions

The term of the license, any applicable notice period, and any automatic renewal are determined by the product description applicable at the time of purchase.

Upon expiration or termination of the agreement, the respective license shall automatically terminate.

Section 10 – Use of the Platform

The customer shall keep their login credentials confidential and protect them against unauthorized access by third parties.

Referee Academy reserves the right to suspend or terminate user accounts in the event of serious violations of these Terms & Conditions or the applicable License Terms.

Section 11 – Contract Language

The contract language shall be German only.

Section 13 – Final Provisions

These Terms & Conditions shall be governed by the laws of the Federal Republic of Germany, to the extent permitted by applicable law.

The License Terms of Referee Academy shall apply in addition to these Terms & Conditions.


License Terms

These License Terms supplement the General Terms & Conditions of Referee Academy and govern the scope of use of the content and services provided.

Section 1 – Scope

(1) These License Terms apply to all licenses offered by Referee Academy unless otherwise agreed in writing.

(2) By purchasing a license, the customer accepts these License Terms as an integral part of the contract.

Section 2 – Scope of the License

(1) Upon purchase of a license, the customer is granted a personal, non-exclusive, non-transferable and non-sublicensable right to use the licensed content.

(2) Unless otherwise agreed, all licenses are issued as personal single-user licenses.

(3) Multi-user, club, association, federation or other volume licenses require a separate agreement.

Section 3 – Personal Use

(1) The license may only be used by the respective license holder.

(2) Shared use of a user account or the disclosure of login credentials to other persons or organisational entities is prohibited.

(3) Licenses are personal and may not be transferred to another person.

Section 4 – Use of the Content

(1) The provided content may only be used within the scope of the granted license.

(2) Training materials, presentations and comparable content may be used for the license holder’s own educational and training activities.

(3) Permanent transfer, distribution or provision of such materials to participants or other third parties is prohibited.

(4) The license does not entitle the customer to permanently incorporate the provided content into their own training materials, databases or comparable services.

Section 5 – Protection of Content

The provided content may not, in particular, be:

  • published;
  • permanently reproduced;
  • systematically copied;
  • automatically extracted or analysed;
  • used, in whole or in substantial part, to create independent learning platforms, databases or comparable services.

Nothing in these License Terms shall limit any statutory exceptions or limitations under applicable copyright law.

Section 6 – Termination of the License

(1) Upon expiration or termination of the license, the granted right to use the provided content shall automatically cease.

(2) Any further use of the provided content after termination of the license is prohibited.

Section 7 – Continuous Development

Referee Academy continuously develops and improves its content and platform features.

Content and functionalities may therefore be supplemented, updated, modified, replaced or discontinued, provided that the essential purpose of the respective license remains unaffected.
